Terms of Service

Nanopaq provides mobile application development services, including but not limited to:

• iOS and Android native app development
• Cross-platform application development
• UI/UX design services
• App maintenance and support
• Mobile app consulting services

The specific scope, timeline, and cost of each project will be defined in a separate written agreement or statement of work between Nanopaq and the client.

Clients engaging our services agree to:

• Provide accurate and complete project requirements and specifications
• Supply necessary content, assets, and access credentials in a timely manner
• Respond to communications and review deliverables within agreed timeframes
• Ensure they have the legal right to use all materials provided to Nanopaq
• Make timely payments according to the agreed payment schedule
• Comply with all applicable laws and regulations related to their app

Payment terms for each project will be specified in the project agreement. Unless otherwise agreed:

• A deposit may be required before work commences
• Milestone payments are due upon completion of agreed project phases
• Final payment is due before final deliverables are handed over
• Late payments may incur additional charges or project delays
• All fees are quoted in the currency specified in the agreement and exclude applicable taxes

Project timelines are estimates based on the information provided at the time of agreement. Delays caused by client-side factors, including but not limited to delayed feedback, scope changes, or unavailable resources, may extend the project timeline. Nanopaq will communicate any anticipated delays as soon as they become known.

Each project agreement will specify the number of revision rounds included. Additional revisions or changes beyond the agreed scope will be quoted separately and may incur additional charges. Significant changes to project scope may require a revised timeline and budget.

To the maximum extent permitted by law, Nanopaq and Lushill Capital Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from or related to our services. Our total liability for any claim shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of the project agreement. Nanopaq will not disclose client project details to third parties without prior written consent, except as required by law.

Either party may terminate the project agreement with written notice if the other party breaches a material term and fails to cure the breach within 14 days. Upon termination:

• The client pays for all work completed up to the termination date
• Nanopaq delivers all completed work for which payment has been received
• Each party returns or destroys the other's confidential information

Nanopaq will assist with app store submissions, but the client is ultimately responsible for maintaining their developer accounts and ensuring their app complies with Apple App Store Review Guidelines and Google Play Developer Policies. The client is responsible for providing accurate privacy policies, app descriptions, and required disclosures for their apps.

These Terms and any project agreements are governed by the laws of the Hong Kong Special Administrative Region. Any disputes arising from or relating to our services shall first be resolved through good-faith negotiations. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.
